Agreement to Terms
By accessing or using Dhaki Digital's services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not use our services.
Services Description
Dhaki Digital provides digital product development services, including but not limited to:
- Website and web application development
- MVP (Minimum Viable Product) development
- Workflow automation and integration
- AI-powered solutions and chatbot development
- Ongoing maintenance and care plans
Engagement Process
- Scoping Call: Initial 25-minute discovery call to understand your requirements
- Visual Plan: We provide a sitemap, wireframes, and timeline within 48 hours
- Agreement: Both parties sign a statement of work (SOW) outlining scope, timeline, and pricing
- Payment: 50% deposit to secure your start date, 50% upon delivery of final deliverables
- Build Sprint: We execute the project according to the agreed timeline
- Handover: Delivery of all assets, documentation, and training
Payment Terms
- All pricing is in USD unless otherwise specified
- 50% deposit is required before work begins
- Final 50% payment is due upon delivery of final deliverables
- Care plans are billed monthly in advance
- Late payments may result in suspension of services
- Refunds are considered on a case-by-case basis and require written request
Client Responsibilities
To ensure successful project delivery, clients agree to:
- Provide timely feedback and approvals within agreed timeframes
- Supply necessary content, assets, and access credentials
- Designate a single point of contact for project communication
- Respond to questions and requests within 48 business hours
- Review and approve deliverables during designated checkpoints
Intellectual Property
Client Ownership: Upon full payment, you own 100% of the source code, design files, and content created specifically for your project.
Dhaki Digital Ownership: We retain ownership of:
- Pre-existing tools, frameworks, and libraries used in the project
- General methodologies and processes
- Starter kits and templates developed independently
Portfolio Rights: We reserve the right to showcase completed work in our portfolio and marketing materials, unless otherwise agreed in writing.
Revisions and Scope Changes
- Each package includes two focused revision rounds
- Revisions must be within the original project scope
- Scope changes or additional features require a separate quote and timeline adjustment
- We reserve the right to refuse requests that fall outside the agreed scope
Warranties and Disclaimers
We warrant that our services will be performed in a professional manner consistent with industry standards. However, we make no warranties regarding:
- Uninterrupted or error-free operation of delivered solutions
- Compatibility with all future third-party services or platforms
- Specific business outcomes or revenue results
- Third-party services we integrate (subject to their own terms)
Limitation of Liability
To the maximum extent permitted by law, Dhaki Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.
Our total liability for any claims arising from our services shall not exceed the amount you paid us for the specific service giving rise to the claim.
Confidentiality
Both parties agree to keep confidential any proprietary information shared during the engagement. This includes business strategies, technical implementations, and sensitive data. Confidentiality obligations survive project completion.
Termination
Either party may terminate the engagement with written notice. In case of termination:
- Client pays for all work completed to date
- Dhaki Digital delivers all work-in-progress in current state
- Deposits are non-refundable
- Both parties return or destroy confidential information
Force Majeure
Neither party shall be liable for delays or failures in performance resulting from acts beyond reasonable control, including natural disasters, war, terrorism, riots, pandemic, or internet outages.
Dispute Resolution
In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with commercial arbitration rules.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Dhaki Digital is registered, without regard to conflict of law principles.
Changes to Terms
We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services after changes constitutes acceptance of the new terms.

Entire Agreement
These Terms of Service, together with any signed statement of work (SOW), constitute the entire agreement between you and Dhaki Digital regarding the use of our services.
